This Enhanced SEO Program Agreement (“Agreement”) is entered into by and between [Client Name] (“Client”) and Identity Dental Marketing (“Provider”), collectively referred to as the “Parties.”
1. Program Description Provider has invested significant resources in developing an Enhanced SEO Program designed to substantially improve the Client’s search engine optimization (“SEO”). This program aims to enhance the Client’s Google rankings through advanced SEO strategies, at no additional cost to the Client.
2. Program Benefits As part of the Enhanced SEO Program, Provider will create and implement various content pieces, including but not limited to, online articles, blog posts, and website content (“Content”). All Content created under this program will be leveraged on the Client’s website to enhance online visibility and SEO performance.
3. Ownership and Usage Rights Provider retains ownership of all Content created and published under this Agreement. The Content is specifically designed for use in connection with the Enhanced SEO Program and is integral to its success. The Content is and shall remain the property of the Provider. It is non-transferable and may not be used independently by Client upon termination of services with Provider.
4. Beta Testing Results Provider has conducted beta tests of the Enhanced SEO Program and has observed positive results in improving Google rankings, even in highly competitive markets. These results, while encouraging, are illustrative and do not guarantee specific performance outcomes for all clients.
5. Agreement to Terms This Agreement compliments but does not replace the original terms and conditions agreed upon at the commencement of the working relationship between the Parties. By signing this Agreement, Client agrees to participate in the Enhanced SEO Program under the terms described herein.
6. Execution To upgrade to the Enhanced SEO Program, please sign and date below and return this document to Provider. Upon receipt of the signed Agreement, Provider will initiate the program enhancements for the Client’s account.
7. Limitation of Liability
a. Accuracy and Compliance: Client acknowledges that Provider, while striving to provide the highest quality and most accurate SEO content, does not warrant the absolute accuracy, legality, or compliance of the Content with specific industry regulations or standards. Provider is not responsible for errors, omissions, or inaccuracies in the Content provided as part of the SEO services.
b. Indemnification: Client agrees to indemnify and hold harmless Provider, its officers, directors, employees, agents, and affiliates, from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from the use of the SEO Content provided by Provider, including but not limited to claims made for misinformation, misrepresentation, or legal non-compliance of the Content.
c. Limitation on Claims: Client agrees that any claim against Provider related to the SEO services provided under this Agreement must be filed within one (1) year after the cause of action arises. Any claims filed beyond this period will be barred.
d. Exclusion of Consequential Damages: In no event shall Provider be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Provider has been informed of the possibility of such damage.
e. Sole Remedy: Client’s sole remedy for dissatisfaction with the SEO services provided is to terminate this Agreement in accordance with the termination provisions set forth herein and cease use of the services.
This Agreement is effective as of the last date signed below.
